1. Elegibility:

The “SAVE THE DATE SWEEPSTAKES” (hereinafter the “Sweepstakes”) is open to legal residents of the 50 United States and the District of Columbia, eighteen (18) of age and older at the time of entry. Employees, officers and directors of Jamestown Premier One Times Square Opco, L.P. (“Sponsor”), and any of its affiliates, subsidiaries, related companies, legal advisors, and advertising and promotional agencies engaged by them in connection with this Sweepstakes (collectively, the “Sweepstakes Parties”), and each of the immediate family members (spouse, parents, siblings and children, regardless of where they live) or members of the households of any such parties, employees, officers or directors (whether or not related) are not eligible to enter or participate.

2. How to Enter:

In order to enter the Sweepstakes, visit link at any time during the Sweepstakes Period (as defined below) to book a vow ceremony at Ever One Times Square and be automatically entered into the Sweepstakes or obtain and submit an Official Entry Form (an “Entry”). Any Entry must be completed in full by providing all of the requested information including, entrant’s name, e-mail address, physical address, telephone number and any other information requested, and submit the completed form via email to ever@onetimessquare.com.

By participating in the Sweepstakes, you (a “Participant”) agree to be strictly bound by the Official Rules and the decisions of Sponsor, which are final and legally binding in all respects, and to waive any right to claim ambiguity in these Official Rules. Limit one (1) Entry per person. Participant may not enter with multiple identities nor may Participant use any other device or artifice to submit more than the allowed number of Entries. Any Participant who attempts to participate with multiple identities or uses any device or artifice to obtain more than the allowed number of Entries may be disqualified. Sponsor will not verify receipt of Entries. All submitted Entries become the property of Sponsor and will not be returned. By entering the Sweepstakes, Participant acknowledges and agrees that the information included as part of its Entry and any other information that may be collected from Participant during, or in connection with, the Sweepstakes (including in connection with the awarding of any prize) may be shared and disclosed among and between the Sweepstakes Parties, and may be used by Sponsor in connection with the Prize (as defined below).

3. Sweepstakes Period:

The Sweepstakes Period (“Sweepstakes Period”) begins at 6:00 PM EST on December 31, 2025 and ends at 6:00 PM EST on April 30, 2026.

4. Prize(s):

Exactly one (1) Sweepstakes prize will be awarded in connection with the Sweepstakes, which prize shall be a vow, wedding, engagement or proposal ceremony and celebration event for two participants and up to 20 guests at One Times Square, including post-celebration activities in New York City and spending money (the “Prize”). The total value of the Prize is estimated at or around 50,000 U.S. Dollars. The Prize is not transferable and is not redeemable for cash. No substitution of prizes is permitted. Should any Prize, or portion thereof, become unavailable, Sponsor reserves the right to substitute a prize of like value or cash substitute.

Winner shall pay all federal, state and local taxes, fees and other expenses imposed in connection with the Prize. Sponsor or its agents may be required to advise the United States Internal Revenue Service of the value of the Prize. Winner shall provide any information requested to permit proper filing and the issuance of an IRS Form 1099.

Names of service providers are used for purposes of Prize description only and such use is not intended to suggest or imply the service providers’ sponsorship, endorsement, or approval of this Sweepstakes.

5. Prize Drawing:

The potential prize winner (“Winner”) will be selected in a random drawing to be conducted by Sponsor held on or about May 1, 2026 from all valid Entries received during the Sweepstakes Period as defined herein. The potential Winner will be notified within fourteen (14) days of the random drawing date by certified mail, mail, email, or telephone. If a potential Winner either declines the applicable Prize, does not respond to the potential prize notification within fourteen (14) calendar days of the random drawing date, or is deemed ineligible to accept the Prize, an alternate Winner will be chosen in a subsequent random drawing from the remaining eligible Entries.

The number of eligible Entries received will determine the odds of winning the Prize.

6. Limitation on Liability:

Participant assumes all risk of loss, damage, destruction, delay or misdirection of Entry/mail/email sent to or by Sponsor. The Sweepstakes Parties are not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled, or delayed computer transmissions, whether caused by Sponsor, users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by technical or human error which may occur and/or which may damage a user's system or limit a Participant’s ability to participate in the Sweepstakes. IN NO EVENT WILL SPONSOR OR ANY OF THE SWEEPSTAKES PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN, OR THE ADMINISTRATION OF, THIS SWEEPSTAKES, ACCESS TO AND USE OF SPONSOR’S WEBSITES OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID WEBSITES. WITHOUT LIMITING THE FOREGOING, THE SWEEPSTAKES, AS ADMINISTERED, PRIZE AND EVERYTHING ON THE WEBSITES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. The Sweepstakes Parties are not responsible if the Prize, or any portion thereof, cannot be awarded due to discontinuance of any Prize, delays or interruptions due to any acts of God, action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor’s sole control. The Sweepstakes Parties will be held harmless for any liability, loss, injury or damage, including, without limitation, personal injury, death or damage to personal or real property, to Participant or any other person or entity due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of any Prize (including any travel or activity related thereto). Participant shall defend, indemnify and hold Sweepstakes Parties harmless from and against any injuries, losses, or damages of any kind to persons or property, including death, sustained, in whole or in part, directly or indirectly, in connection with or resulting from acceptance, possession or use/misuse of the Prize (if Participant is the Winner), or participation in this Sweepstakes or participation in or travel to any Sweepstakes-related activities.

7. Modification or Cancellation:

Sponsor reserves the right, at its sole discretion, to cancel, terminate, suspend and/or modify the Sweepstakes and these Official Rules, in whole or in part, without liability and without prior notice, at any time, should any unforeseen occurrence cause the fair and impartial continuation of the Sweepstakes to be impossible or impracticable. ANY ATTEMPT BY PARTICIPANT OR ANY OTHER PERSON TO DAMAGE ANY WEBSITES OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Without limiting the foregoing, if for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and/or to cancel, terminate, modify or suspend the Sweepstakes or any element thereof and Sponsor may conduct a random drawing to award the Prize using all eligible, non-suspect Entries received as of the date of action requiring such termination. Should any provision of these Official Rules be deemed unenforceable or invalid, the other provisions of these Official Rules shall remain in full force and effect. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event that this Sweepstakes is challenged by any legal or regulatory authority (including but not limited to any federal or state governmental authority), Sponsor reserves the right to discontinue or modify the Sweepstakes, as applicable, or to disqualify any Participants residing in any affected geographic areas, as applicable. In such event, Sponsor shall have no liability to any Participant who is disqualified due to such an action.

8. Publicity Release:

Unless prohibited by law, by accepting the Prize, Winner hereby gives permission to Sponsor and its designees and agents to use Winner’s image, likeness and/or name in any form of written or photographic materials, including all rights of publicity. Unless prohibited by law, Winner further agrees that Winner shall not take any action, or allow any other person to so act, to impede any use of Winner’s image, likeness and/or name in any publicity related to the Sweepstakes or the Prize.

9. Governing Law:

By entering the Sweepstakes, Participant agrees that the Sweepstakes shall be governed by the laws of the State of New York. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules shall be governed and construed in accordance with the laws of the State of New York.
